You possess the legal capacity and authority to enter into this Agreement
All information you provide is truthful, accurate, and complete
Your use of our Services will comply with applicable laws and regulations
You will maintain the confidentiality of any access credentials
You will promptly notify us of any unauthorized account access or security breaches
IV. ENGAGEMENT PROTOCOLS
A. SERVICE INITIATION
To commence a relationship with DSC Legacy Holdings:
Complete our onboarding documentation
Provide requested identification and verification materials
Review and accept applicable agreements
Remit any required initial payments
Participate in introductory consultations as needed
B. COMMUNICATION CHANNELS

The relationship established is that of independent contracting parties. Nothing within these Conditions creates any agency, partnership, joint venture, or employment relationship.

9. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Texas and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

A. OWNERSHIP RIGHTS
All intellectual property associated with our Services, Platform, and Content, including but not limited to trademarks, copyrights, trade secrets, and proprietary methodologies, remains the exclusive property of DSC Legacy Holdings or its licensors.
B. LIMITED LICENSE
We grant you a limited, non-transferable, non-exclusive license to access and use our Platform and Content solely for your personal or internal business purposes in connection with our Services.
VIII. INTELLECTUAL PROPERTY FRAMEWORK

Use our intellectual property for commercial purposes without authorizationReverse engineer or decompile any aspect of our Platform
Transfer your access rights to any third party
IX. LIMITATION OF LIABILITY
A. SCOPE OF LIMITATIONS
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
DSC LEGACY HOLDINGS PROVIDES SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THESE CONDITIONS OR YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE CONDITIONS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO SUCH CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
B. EXCEPTIONS
Nothing in these Conditions excludes or limits liability that cannot be excluded or limited under applicable law.
X. INDEMNIFICATION OBLIGATIONS
You agree to defend, indemnify, and hold harmless DSC Legacy Holdings and its officers, directors, employees, and representatives from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Your use of our Services
Your violation of these Conditions
Your infringement of any third-party rights
Information or content you submit or provide
XI. TERM & TERMINATION
A. DURATION
These Conditions remain effective until terminated by either party.
B. TERMINATION PROCEDURES
Client-Initiated Termination: You may terminate by discontinuing use of our Services and providing written notice
DSC-Initiated Termination: We may suspend or terminate your access at our discretion, with or without cause
Effect of Termination: Upon termination, all licenses granted herein will cease
Survival: Provisions that by their nature should survive termination shall remain in effect
XII. DISPUTE RESOLUTION FRAMEWORK
A. GOVERNING LAW
These Conditions shall be governed by and construed in accordance with the laws of the state where DSC Legacy Holdings is headquartered, without regard to conflict of law principles.
B. RESOLUTION PROCESS
Informal Resolution: Parties will attempt to resolve disputes informally
Mediation: If informal resolution fails, parties agree to mediation
Arbitration: Any unresolved disputes shall be settled by binding arbitration
Venue: Proceedings shall occur in the county where DSC is headquartered
Class Action Waiver: You waive any right to participate in class actions
XIII. MODIFICATION PROCEDURES
DSC Legacy Holdings reserves the right to modify these Conditions at any time. Changes become effective immediately upon posting on our Platform. Your continued use of our Services following any modifications constitutes acceptance of the revised Conditions.
XIV. MISCELLANEOUS PROVISIONS
A. ASSIGNMENT
You may not assign your rights or obligations under these Conditions without our prior written consent. We may assign our rights or obligations to any affiliate or successor entity.
B. SEVERABILITY
If any provision of these Conditions is found to be unenforceable, the remaining provisions shall remain in full effect.
C. FORCE MAJEURE
Neither party shall be liable for delays or failures resulting from circumstances beyond reasonable control.
D. WAIVER
No failure to enforce any provision shall constitute a waiver of such provision.
E. ENTIRE AGREEMENT
These Conditions, together with our Privacy Statement and any separate service agreements, constitute the entire agreement between you and DSC Legacy Holdings regarding our Services.
